How to file for an LLC in California

To start an LLC in California, you’ll need to complete the following steps:

1. Choose a Name for Your LLC

  • The name must be unique and distinguishable from existing LLCs in California.

  • Check name availability through the California Secretary of State.

  • The name must include “LLC,” “L.L.C.,” or “Limited Liability Company.”


2. File Articles of Organization (Form LLC-1)

  • Create an account on the BizOnline website. to file your Articles of Organization Form LLC-1 online for fastest processing.

  • Once you are logged in, select the “Register a business (Corporation, Limited Liability Company, Limited Partnership) link and complete the online application.

  • There is a $70 processing fee to submit as of January 2025.

  • You should receive confirmation that your LLC has been filed and you can check your Work Queue within the BizOnline website for the approval by the California Secretary of State.


3. Obtain an Employer Identification Number (EIN)

  • After you file your Articles of Organization to form an LLC and successfully establish your LLC with the California Secretary of State then you can

    file for in EIN number. The LLC must be legally formed and recognized by the state before you can apply for an EIN, as the IRS requires your business entity's official name and formation date. Filing for an EIN before forming the LLC may lead to discrepancies if the business name or details change during the formation process.

  • Apply for your EIN through the IRS website (free process). You can usually get an EIN within minutes or same day as your application.


4. Comply with California Tax and Annual Filing Requirements

  • Pay an annual franchise tax of $800 to the California Franchise Tax Board.

  • File a Statement of Information (Form LLC-12) with the Secretary of State within 90 days of forming your LLC and every two years thereafter ($20 fee).

5. Obtain Necessary Permits and Licenses
